Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website located at https://www.prohomesavings.com and any related pages, features, content, or applications we make available (collectively, the “Service”). “Pro Home Savings,” “we,” “our,” or “us” refers to [Pro Home Savings, LLC or applicable entity name]. “You” or “user” refers to any visitor, homeowner, or contractor who accesses or uses the Service.

These Terms incorporate any additional policies we post on the Service, including our Privacy Policy available at https://www.prohomesavings.com/privacy-policy and any contractor-specific terms we may publish from time to time.

By using the Service, you represent and warrant that you: (i) have read, understand, and agree to be bound by these Terms; (ii) if using the Service on behalf of an organization, have authority to bind that organization; (iii) are of legal age of majority in your jurisdiction; (iv) when acting as a Homeowner, you are the owner or have proper authority from the owner to request work; and (v) will comply with all applicable laws and regulations. If you do not agree to these Terms, do not use the Service. A printed version of these Terms is admissible to the same extent as other business documents.


Pro Home Savings Services for Homeowners

The Service helps Homeowners submit requests for home improvement or maintenance services and be connected with independent Contractors who may contact you about your request. To place a request, you will provide details such as location, type of work, timing, and your contact information. After you submit a request, one or more Contractors may reach out directly to discuss services.

We are not a contractor and we do not perform home improvement services. Pro Home Savings does not control, supervise, employ, endorse, or guarantee any Contractor, their pricing, availability, materials, workmanship, schedules, permits, or outcomes. We are not a party to any agreement between Homeowners and Contractors and will not indemnify you for any damage, dispute, or loss arising from such services. All engagements are solely between you and the Contractor.

You acknowledge and agree that any disputes arising between Homeowners and Contractors must be resolved between those parties. You hereby release Pro Home Savings and its affiliates, officers, employees, agents, and partners (collectively, the “Pro Home Savings Parties”) from any claims, demands, and damages of every kind arising out of or in any way connected with such disputes.

Contractors operate independently and may not hold themselves out as employees, agents, joint venturers, or partners of Pro Home Savings. Neither you nor we have authority to bind the other to any obligation.

Homeowners agree to provide accurate and up-to-date information regarding services requested or received, and to notify us if a Contractor requests or encourages you to misreport service status or outcomes.


Intellectual Property

Pro Home Savings Content

The Service, including all text, data, graphics, images, logos, icons, videos, audio, software, code, and design elements, and the selection and arrangement thereof (collectively, “Content”), is owned by or licensed to Pro Home Savings and is protected by intellectual property and other laws. You must not remove proprietary notices from any Content.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service and Content solely for your personal, non-commercial use (for Homeowners, to evaluate and connect with Contractors; for Contractors, to evaluate and connect with potential leads). All rights not expressly granted are reserved.

You may not (and may not attempt to): copy, scrape, crawl, or monitor the Service; bypass security measures; probe or test vulnerability; reverse engineer, decompile, disassemble, or adapt the Service except as permitted by law; sell, sublicense, or otherwise exploit the Service; misrepresent your identity or affiliation; or remove or alter proprietary notices.

User Content

You may submit content to us (e.g., reviews, messages, forms, feedback, photos) (“User Content”). You grant Pro Home Savings a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform and display, and otherwise use your User Content in connection with operating, improving, and promoting the Service, in any media now known or later developed, without additional notice or compensation.

You represent and warrant that: (i) you own or have all necessary rights to your User Content; (ii) your User Content does not infringe or violate any third-party rights or contain harmful code; and (iii) you have provided all notices and obtained all consents required by law for any personal data included in your User Content. We may, but are not obligated to, monitor, moderate, or remove User Content at our discretion.


Use Restrictions

You agree not to use the Service to:

  • Upload or share content that is unlawful, defamatory, harassing, hateful, discriminatory, obscene, or pornographic;
  • Send spam, harvest personal information without consent, or otherwise violate privacy or data-protection laws;
  • Mislead others by impersonation or misrepresenting your relationship with Pro Home Savings;
  • Advertise, run contests, or promotions without our prior written consent;
  • Overload, disrupt, or interfere with the Service or its security;
  • Copy or collect Content or user data by automated or manual means without permission;
  • Violate applicable telemarketing rules, including the TCPA and FCC regulations (e.g., no residential telephone solicitation before 8:00 a.m. or after 9:00 p.m. local time at the called party’s location, see 47 C.F.R. § 64.1200).

We may, but are not required to, monitor or enforce compliance.


Warranties and Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” To the fullest extent permitted by law, Pro Home Savings disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that defects will be corrected.

We make no promises or guarantees to Homeowners or Contractors regarding any services offered, accepted, or performed off-platform. We do not participate in disputes between users and disclaim all responsibility arising from such disputes.


Limitation of Liability

To the fullest extent permitted by law, Pro Home Savings Parties shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, or for any loss of profits, goodwill, data, or other intangible losses, arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages.

If any liability is found despite the foregoing, our total liability to you for all claims in the aggregate shall not exceed the amount you paid (if any) to Pro Home Savings for access to the Service during the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

Contractors are solely responsible for their acts and omissions and those of their employees, subcontractors, and agents while performing services.


Indemnification

You agree to defend, indemnify, and hold harmless the Pro Home Savings Parties from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) your breach of these Terms; (ii) your misuse of the Service or Content; (iii) your violation of law or third-party rights; or (iv) disputes between you and any Contractor or Homeowner. We may, at our discretion, assume control of the defense; you agree to cooperate with our defense and settlement efforts.


Arbitration and Class Action Waiver

Please read carefully—this affects your legal rights. You and Pro Home Savings agree that the Federal Arbitration Act governs this section. Except for the specific exceptions below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, “Disputes”) will be resolved exclusively by binding arbitration on an individual basis.

Informal Resolution

Before filing a claim, you must first contact contact@prohomesavings.com and attempt to resolve the Dispute informally. If the Dispute is not resolved within 30 days, either party may commence arbitration.

Binding Arbitration

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator, seated in Wilmington, Delaware, unless the parties agree otherwise or applicable AAA rules require a different location or a virtual hearing. The arbitrator will have authority to award all remedies available in court under law or in equity. Judgment on the award may be entered in any court of competent jurisdiction. Each party will bear its own costs and an equal share of the AAA/arbiter fees unless the arbitrator determines otherwise.

Class Action Waiver

Arbitration shall proceed only on an individual basis. YOU AND PRO HOME SAVINGS WAIVE ANY RIGHT TO HAVE CLAIMS HEARD AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

Exceptions

Either party may bring an action for intellectual property protection (e.g., infringement claims) in state or federal court or seek relief in small claims court for eligible matters.

30-Day Opt-Out

You may opt out of this arbitration section by sending an email from the address associated with your account to legal@prohomesavings.com with the subject “ARBITRATION OPT-OUT” within 30 days after you first agree to these Terms. If you opt out, neither party is bound by this section.

Survival and Severability

This section survives termination of these Terms. If the class-action waiver is found unenforceable as to a particular claim, then this entire arbitration section will be unenforceable as to that claim.


Electronic Communications

By using the Service and providing your contact information, you consent to receive emails from us about your requests, the Service, and updates to these Terms. You can opt out of marketing emails by following the unsubscribe prompts; transactional emails may still be sent as necessary to provide the Service. For more information, see our Privacy Policy.


Third-Party Websites and Services

The Service may integrate or link to third-party sites, tools, or services we do not control. Different terms and privacy policies may apply to those third-party services. We are not responsible for their availability, accuracy, or practices, and we disclaim all liability arising from your interactions with them. Some features of the Service may depend on such third parties and may be unavailable or interrupted from time to time.


Other Terms

Changes

We may update these Terms at any time by posting a revised version to the Service and updating the “Date Last Updated” below. If changes materially affect your rights, we will endeavor to provide advance notice (e.g., by email or an in-product message). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Assignment

We may assign our rights and obligations under these Terms. You may not assign these Terms without our prior written consent.

Severability; Waiver

If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.

Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflicts-of-law principles, and applicable federal law. Subject to the arbitration section above, the exclusive venue for any permitted court action will be the state or federal courts located in New Castle County, Delaware, and the parties consent to personal jurisdiction there.
